Este MoU establece un marco no vinculante para evaluar la integración de PTVS v1.0 como la capa de auditoría pericial física recomendada, mitigando el riesgo de deriva de colateral (Physical Oracle Gap) y garantizando el cumplimiento de las directrices de ESMA. This MoU establishes a non-binding framework to evaluate the integration of PTVS v1.0 as the recommended physical forensic audit layer, mitigating collateral drift risk (Physical Oracle Gap) and ensuring compliance with ESMA guidelines.

Para la Plataforma de Emisión For the Issuance Platform

  • Exención de Responsabilidad (Safe Harbor): Mitigación del riesgo legal derivado de la brecha entre el token digital y la realidad física, mediante dictamen pericial externo avalado por Perito Judicial Oficial. Liability Safe Harbor: Mitigation of legal risk derived from the gap between the digital token and physical reality, via external forensic appraisal endorsed by a Certified Judicial Expert.
  • Cumplimiento MiCA / ESMA: Cobertura integral ante las exigencias de diligencia debida y comprobación de subyacentes requeridas por los supervisores europeos. MiCA / ESMA Compliance: Comprehensive coverage for due diligence and underlying asset verification requirements mandated by European supervisors.
  • Integración Nativa: Conexión directa del contrato inteligente PTVSClaimInjector.sol con el estándar de identidad de la plataforma (ERC-3643 / ONCHAINID). Native Integration: Direct connection of the PTVSClaimInjector.sol smart contract with the platform’s identity standard (ERC-3643 / ONCHAINID).

  • Verificación en Ficha Técnica: Inclusión de la verificación pericial como paso recomendado u obligatorio en la documentación de emisión del activo. Technical Sheet Verification: Inclusion of forensic verification as a recommended or mandatory step in the asset’s issuance documentation.
  • Co-Marketing Institucional: Comunicación conjunta a la industria sobre la nueva capacidad de verificación física de la plataforma. Institutional Co-Marketing: Joint communication to the industry regarding the platform’s new physical verification capability.

Fase 1: Evaluación Técnica y Piloto (Semanas 1-4) Phase 1: Technical Evaluation & Pilot (Weeks 1-4)

Despliegue en sandbox (testnet). Integración de la interfaz de PTVSClaimInjector.sol en el flujo de la plataforma. Ejecución de 1 a 3 auditorías forenses piloto con activos reales. Sandbox deployment (testnet). Integration of the PTVSClaimInjector.sol interface into the platform’s flow. Execution of 1 to 3 pilot forensic audits with real assets.

Fase 2: Rollout de UI/UX (Semanas 5-8) Phase 2: UI/UX Rollout (Weeks 5-8)

Integración del distintivo “PTVS Verified” en el dashboard de la plataforma, la Data Room del inversor y los metadatos del token. Checkbox opcional para emisores: “Solicitar Verificación Física PTVS”. Integration of the “PTVS Verified” badge into the platform dashboard, investor Data Room, and token metadata. Optional checkbox for issuers: “Request PTVS Physical Verification”.
